BYLAWS OF THE ARROWHEAD RIDING CLUB, INC.
ARTICLE 1: Club Name
This club shall be called: The Arrowhead Riding Club, Inc.
ARTICLE 2: Club Purpose
The purpose of this club or organization shall be to provide its members with a finer & more understanding sense of horsemanship through association and fellowship of the members.
ARTICLE 3: Member Misconduct
Any member abusing his horse, or the horse of others, or acting in a manner unbecoming a gentleman, or interfering in the pleasure of others will be subject to reprimand by the board of directors, and may be fined or expelled as they see fit.
Members will be required to participate on projects through the years as directed by the presidency and the Board of Directors. Members who refuse to complete projects as directed will be put on a membership probation for 1- year. If a members has 2 offensives they will forfeit their membership in Arrow Head Riding Club.
ARTICLE 4: New Memberships
A. Any male, eighteen (18) years of age or older, of good character and interested in the objectives and purposes of this organization shall be eligible to become a member, as prescribed and regulated in these bylaws.
B. Any member under 21 years of age must have a signed certificate of release from a parent or guardian stating that the club is not responsible for any accident or liable in any way at any time.
C. Potential new members must be sponsored by a club member in good standing. The sponsoring club member shall make known the name of the potential new member to the club secretary who will create a list of new members’ names, their sponsor, and the date they were placed on the list. At least one week prior to meetings designed to vote in new members, the sponsor shall be notified of the meeting in order to be available to present the new member’s name. At the meeting:
I. If a member’s son desires membership to the club, they will be voted upon first. They will be voted upon individually in the order they have been received by the club secretary. The vote will be by secret ballot and will be either a “Yes” or “No” vote. Ballots will be counted at the meeting. If more than 10% of those attending the meeting vote “No”, the member’s son will be denied membership into the club. "A member's son that is 21 or younger as of January 1 of the calendar year is eligible to use the facilities under his father's membership for the whole year. If the member's son is 22 or older as of January 1 of the calendar year, the son must apply for a membership and follow the process to be voted on to become a member of the club. If no membership slots are available that year, then the member's son can pay annual membership dues and assessments for the year, and this will allow them to be eligible to use the facilities for that year. If there are several members' sons requesting membership in the same year, the oldest son will be given the first right of refusal to apply for the membership slot.
II. All other prospective new members’ names shall be placed on a ballot and the ballot be distributed to those in attendance for a private vote. The prospective members receiving the most votes shall be granted membership in accordance with the number of available membership openings. Members may also write a “No” next to a prospective member’s name. If more than 10% of those attending the meeting write “No” next to a prospective member’s name, that prospective member will be denied membership to the club regardless of how many votes they receive. Ballots will be counted at the meeting.
D. If the new member is voted into the club, the new member must pay the entrance fee, dues, and assessments for that year within one week of being granted membership. If all fees are not paid within one week, the new member will be dropped from the club.
E. A member in good standing may transfer his membership to a male member of his family. The potential new member must meet the requirements mentioned in Article 4.C.I.
ARTICLE 5: Dues and Assessments
A. There will be an entrance fee of four hundred dollars ($400.00) to join this organization.
B. As a proviso to Article 5 (A), any son of a current member must only pay a two hundred-dollar ($200.00) entrance fee the first time they are granted membership into the club.
C. The annual dues of this organization shall be Five Hundred Fifty dollars ($550.00) per year, due and payable from the annual meeting in November until the fifteenth day of April the next year. Members delinquent in paying dues or fines as of April 15 will be dropped from the club.
D. The acting club president, vice-president, and secretary are not required to pay annual dues or assessments for the year of their service.
E. Club members must pay all dues and assessments before they can rope.
F. If members desire to join the Utah State Western Riding Club Association (USWRCA), the fees for the USWRCA shall be paid for by the Arrowhead Riding Club.
G. Members shall be subject to such special assessments as prescribed by the board of directors to cover costs of equipment, supplies, or activities the members take part in. It is intended that this organization’s assessments will be only to cover the actual costs.
H. Any member in good standing for twenty-five years is designated as an Honorary Member. Honorary Members are not required to pay special assessments if a special assessment is levied on regular members. When a member receives Honorary Member status, they must designate whether they choose to be an “Active” or “Inactive” Honorary Member. Active Honorary Members pay annual dues each year and continue to act as a regular member of the club with the ability to vote and hold leadership positions. Inactive Honorary Members vacate their active membership in the club which means they are not allowed to vote on club functions or hold leadership positions and allows another person to take their membership slot. In-active Honorary Members have two options available to exercise each year: 1) pay no annual dues for the year but still be allowed to use the facility and participate in planned intra-club activities, but can not rope the cattle outside of Inter-club. or 2) pay annual dues and have full access to use the club facilities at any time.
ARTICLE 6: Club Management
A. The control of this organization shall be vested in the board of directors consisting of six (6) members in good standing. These Board Members will be: President, Vice President, Secretary/Treasurer, the last two Presidents of the Arrowhead Riding Club, Inc. that will automatically become members of the Board of Directors for two consecutive years, and an elected member that shall serve for one year.
B. The board of directors shall have control and management of the property and finances of the organization.
C. Funds of the organization shall be withdrawn from the bank or banks with which they are on deposit by the Secretary, at the discretion of the board.
ARTICLE 7: Board of Director Selection
A. At the annual meeting, there shall be elected by the members a President-Elect, Vice President, Secretary/Treasurer and a Board Member who will serve for one year. The President-Elect is a two-year term with the President-Elect serving as the President of the Arrowhead Riding Club, Inc. during the second year.
B. Nominating of officers and directors shall be from the floor at the time of the election meeting.
C. Voting will be by secret ballot by members present and in good standing. Each person shall only cast one vote.
ARTICLE 8: Club Meetings
A. The annual meeting of the Arrowhead Riding Club, Inc. shall be in the month of January of each year.
B. The Board of Directors shall meet each month to conduct such business as may be necessary.
C. Special meetings of the Board of Directors or general meetings of all members may be called by the President, Secretary, the request of the Board or upon written request by one-fourth (1/4) of the active membership.
D. At any meeting of the organization, a simple majority of members present shall be sufficient to transact any business, EXCEPT: (1) selling of any fixed club assets which will require 75% of a total club vote to pass. Every member will have the opportunity to vote, either by being present, or by written proxy; or (2) where other provisions are made in the bylaws.
E. At all meetings of the Board of Directors, seven (6) members shall constitute a quorum and a simple majority of those present shall carry a motion.
ARTICLE 9: Club Obligations
No member, without proper authorization of the Board of Directors, shall incur to any extent any expenses or obligations to the organization.
ARTICLE 10: Club Bylaws
A. The bylaws shall be read at the annual meeting and accepted or revised at that time.
B. These bylaws may be amended by a two-thirds (2/3) vote of members present at any general meeting, provided written notice has been given each member that bylaw changes will be voted upon in advance of the meeting.
ARTICLE 11: Use of Facilities
A. Unless an event is approved by the Board of Directors declaring otherwise, use of the facilities is restricted to members and members’ sons and daughters 21 years of age or younger. Children may only use the club under the supervision of a member. If a club activity requires a fee for the member to participate, this same fee must also be paid by the child if he/she participates in that same activity unless voted upon by the club otherwise.
B. The club may vote to sponsor an “Intern”. Interns are members’ sons that are given specific responsibilities to fulfill on behalf of the club as determined by the Board of Directors. In return, interns are granted privileges like unto a member (use of facilities, etc.), but not the rights of being a member (voting, etc.). Names of prospective interns will be presented before the club and voted upon for approval. If 10% of the membership votes “No”, the Internship will be denied.
